  1. Welcome to www. Searcho.org ("Searcho / Site"), an initiative by "ISHRAE". These are the terms and conditions governing your use of the Site. By accessing Searcho, you acknowledge, accept and agree to the following terms and conditions. These terms and conditions are effective from the time you log in to Searcho. By accepting these terms and conditions, you are also accepting and agreeing to be bound by the Privacy Policy and Listing Policy.
    1. "Agreement" means the Terms and Conditions (T&C) contained herein. It shall include privacy policy, listing policy as well as references to this Agreement as and when amended, notated, supplemented, varied or replaced.
    2. "Site"or "SearchO" means the industry specific search engine owned and operated by ISHRAE, which provides a platform to the users of ISHRAE/SearchO to buy the products offered by the Seller.
    3. "Registered Vendor/s" / "Seller/s" / "Affiliates" shall mean the person or any legal entity who offers for sale, sells, displays, the products/services on the online portal SearchO
    4. "Customer/s" / "Buyer/s"/"User/s" shall mean the person or any legal entity who refers to a person who shall register with ISHRAE's SearchO through the Website with an intention to purchase and / or avail the Services provided by ISHRAE
    5. "Product/s" connotes the goods, services promoted / displayed on the Site and offered for any use / sale.

  2. The following Terms and Conditions constitute a legally binding agreement between you and ISHRAE regarding your use of the web site ‘Searcho' (the Site). By accessing the Site and/or by clicking "I agree", you agree to be bound by these Terms. Therefore You are required to read this Agreement carefully. You are also advised to regularly check for any amendments or updates to the terms and conditions from time to time. ISHRAE may add to or change or update these Terms, from time to time entirely at its own discretion. You are responsible for checking these Terms periodically to remain in compliance with these terms. Your use of Site and any amendment to the Terms shall constitute your acceptance of these terms and you also agree to be bound by any such changes/revisions/amendments.

    Any clause of terms and conditions if deemed invalid, void or for any reason unenforceable, shall be deemed severable and shall not affect the validity and enforceability of the remaining clauses of the terms and conditions.


  3. Use of the Portal is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. You hereby represent and warrant to the Company that you are at least eighteen (18) years of age or above and are capable of entering, performing and adhering to these Terms and conditions and agree to be bound by the terms and conditions. If you are a minor i.e. under the age of 18 years, you shall not register as a User of the ISHRAE portal and shall not transact on or use the website. As a minor if you wish to use or transact on website, such use or transaction may be made by your legal guardian or parents on the Website. ISHRAE reserves the right to terminate your membership and / or refuse to provide you with access to the Website if it is brought to ISHRAE's notice or if it is discovered that you are under the age of 18 years

    Subject to compliance with the Terms of Use, ISHRAE grants You a non-exclusive, limited privilege to access and use the portal and the services provided therein.

      1. In order to use the Services, you must create a Seller's Account and register with ISHRAE and agree to provide required personal information requested by ISHRAE.
      2. In particular, you will be required to provide your first name, last name, age, title, valid telephone number, email address along with details of the products. If registration has been obtained through false representation of facts, ISHRAE reserves the right to terminate the registration immediately.
      3. You agree and accept that all of the information provided by you to ISHRAE while setting up their Seller's Account or at any other time, shall be true, proper, correct, complete and accurate in all respects. You also agree and understand that ISHRAE does not undertake any verification to confirm the accuracy of any information provided by the Sellers on the Website. ISHRAE shall not be liable to you in the event, any information provided by you is false, incomplete, inaccurate, misleading or fraudulent.
      4. If You use the Website, You shall be responsible for maintaining the confidentiality of your Display Name and Password and You shall be responsible for all activities that occur under your Display Name and Password. You agree that if You provide any information that is untrue, inaccurate, not current or incomplete or We have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with the this Terms of Use, We shall have the right to indefinitely suspend or terminate or block access of your membership on the Website and refuse to provide You with access to the Website.
      1. You shall be charged for the subscription to the Membership of ISHRAE as per the subscription plan opted by You. You shall have option to take monthly, quarterly, semi-annually and annual membership.
      2. On receiving payment, ISHRAE will issue an invoice to You containing, inter-alia, the following details : a) Your Personal details b) The payment plan along with its due date c) Description of the Service d) Break up of the Fees
      3. Your right to use the Service is limited to the subscription period. After the expiration of your subscription period, paid Services of ISHRAE shall stop and you will then be entitled to avail the benefits as free member only. However, you will have option to extend the subscription period subject to your payment of subscription fees.
      4. 4 Your products and services will be displayed first in the category of products and services in which you have advertised. Apart from this, you will be entitled to avail certain other advantages which will be notified on the site and other offers which will not be available to free members. Such advantages will be notified to you whenever you log in, through email/ mobile as well.
      5. ISHRAE reserves the absolute right to modify, amend, change, curtail or expand any privileges, rights, benefits, liabilities or responsibilities of paid members as it deems fit and these will be instantly applicable to all past, present and future members. The quantum of these benefits and even the benefits in totality will be at the sole discretion of ISHRAE.
      6. Any payment made by you for the Subscription shall be non-refundable.
      7. You will use services of ISHRAE in a manner consistent with all local, states and Union regulations and laws. ISHRAE reserves the right to suspend or cancel your access to any or all services provided by us when you are not in compliance to the terms of this agreement and/or we decide that your account has been inappropriately used.
    1. You hereby acknowledge and agree that ISHRAE as well as its web portal Searcho provides intermediary services and therefore may not be held responsible in any way for any dispute between Sellers and Users. ISHRAE is only facilitating Sellers and Users to interact with each other for the purpose of commercial/contractual transactions. In these transactions ISHRAE is acting as an intermediary and facilitator, by creating a bridge between Seller and User enabling Users to place orders/bookings/request through the portal. Thus, ISHRAE cannot be a party to or control in any manner any transactions between the Seller and the Buyer.
    2. ISHRAE do not make any representation or Warranty as to specifics (such as quality, value, saleability, etc) of the products or services proposed to be sold or offered to be sold or purchased on the Portal. ISHRAE does not implicitly or explicitly support or endorse the sale or purchase of any products or services on the Website. ISHRAE shall neither be liable nor responsible for any actions or inactions of by You or any breach of conditions, representations or warranties by You.
    3. ISHRAE will not be responsible for any non-performance or breach of any contract entered into between Buyers and Sellers. ISHRAE cannot and does not guarantee that the concerned Sellers and/or Buyer will perform any transaction concluded on the ISHRAE portal. ISHRAE shall not and is not required to mediate or resolve any dispute or disagreement between You and Buyer.
    4. ISHRAE does not at any point of time during any transaction between Seller and Buyer on the Portal come into or take possession of any of the products or services offered by Seller nor does it at any point gain title to or have any rights or claims over the products or services offered by You to the User.
    5. ISHRAE is only providing a platform for the purposes of transaction and communication and it is agreed that the contract for sale of any of the products or services shall be a strictly bipartite contract between Buyer and You.
    6. At no time shall ISHRAE hold any right, title or interest over the products nor shall Searcho have any obligations or liabilities in respect of any transaction between You and Buyer. Searcho is not responsible for unsatisfactory or delayed performance of services or damages or delays by You as a result of products which are out of stock, unavailable etc.
    7. ISHRAE's aggregate liability arising from or relating to this agreement or maintenance, support or other service (regardless of the form of action or claim - e.g. Contract, warranty, tort, malpractice, and/or otherwise) shall in no event exceed maximum amount paid by you to ISHRAE while availing ISHRAE's service under this agreement.
    8. ISHRAE shall not in any case be liable for any special, incidental, consequential, indirect or punitive damages even if ISHRAE has been advised of the possibility of such damages. ISHRAE is not responsible for loss of profits or revenue, loss of use of our service, loss of data, costs of re-creating lost data, the cost of any substitute equipment or program, or claims by you.
    1. ISHRAE derives information from sources which ISHRAE believes to be accurate and up to date at the time of publication. All information provided on the Website is provided in good faith. ISHRAE do not make any representation or warranty that the information provided is timely, reliable, accurate or complete, and will not be liable for any claim or loss resulting from any action taken, or reliance made by you on any information, material or advice provided on the Website, or for any incorrect information provided on the Website.
    2. ISHRAE reserves the right, in its sole discretion and without any obligation, to make improvements to, or correct any error or omissions in, any portion of the Site. Where appropriate, ISHRAE will endeavour to update information listed on the site on a timely basis, but shall not be liable for any inaccuracies.
    3. All those sections in the portal that invite reader participation will contain views, opinion, suggestion, comments and other information provided by the general public, and ISHRAE shall at no point of time be held responsible for the accuracy or correctness of such information. ISHRAE reserves the absolute right to accept/reject information from readers and/or users and impose portal access rules and regulations for any user(s).

The material/information/services are provided "As Is" And "As Available" without warranty of any kind, either express or implied or statutory, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement unless otherwise agreed by ISHRAE in writing. ISHRAE disclaims, to the fullest extent permitted under law, any warranties regarding the security, reliability, timeliness, accuracy and performance of the portal and materials. ISHRAE does not warrant that any defects or errors will be corrected; or that the content is free of viruses or other harmful components.

    ISHRAE further disclaims any and all warranties to the fullest extent of the law, including any warranties for any information, products, or services, obtained through, advertised or received through any links provided by or through the portal subject to applicable law.

  5. All data of the Sellers will be protected by ISHRAE by taking adequate encryption and security measures. However, in the event, of any breakdowns, or on occurrence of any errors or security breach which is beyond the reasonable control of ISHRAE then ISHRAE shall not own any liability in this regard.
    1. The following content and activities may not be displayed or promoted by you and any person on your behalf nor Associated in any way with You. ISHRAE shall have sole discretion as to what constitutes violation of this provision.
    2. You and any person on your behalf shall not host, display, upload, modify, publish, transmit, update or share any information including but not limited or Products and Services on the website that belongs to another person and to which the User does not have any right to;
    3. You and any person on your behalf shall not host, display, upload, modify, publish, transmit, update or share any information on the website that is grossly harmful, harassing, blasphemous defamatory, obscene, pornographic, pedophilic, libelous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
    4. You and any person on your behalf shall not host, display, upload, modify, publish, transmit, update or share any information on the website that infringes any patent, trademark, copyright or other proprietary rights; or that violates any law for the time being in force;
    5.     7. You and any person on your behalf shall not host, display, upload, modify, publish, transmit, update or share any information/contents on the website that promotes any illegal or prohibited activity.
    8. You and any person on your behalf shall not host, display, upload, modify, publish, transmit, update or share any information on the website that may be damaging to ISHRAE's servers or to any other server on the Internet.
    9. You and any person on your behalf shall not host, display, upload, modify, publish, transmit, update or share any information on the website that promotes or sale of unsolicited or bulk e-mail (SPAM) software or services or unsolicited or bulk e-mail or group posts (SPAM) which references and/or is traceable to ISHRAE and/or any Client in any way.
    10. You and any person on your behalf must vigilantly comply with all applicable law, including, without limitation to, Information Technology Act, 2000 as amended by the Information Technology (Amendment) Act, 2008, and the Information Technology (Reasonable security practices and procedures and sensitive personal data or information) Rules, 2011 and rules and regulations made thereunder.
    11. You and any person on your behalf shall not, knowingly or intentionally conceal, destroy or alter or intentionally or knowingly causes another to conceal, destroy or alter any computer source code used for a computer, computer program, computer system or computer network of ISHRAE, without the permission of ISHRAE.
    12. You and any person on your behalf shall not, fraudulently or dishonestly, make use of the electronic signature, password or any other unique identification feature of any other person and you shall not misuse the computer resource of ISHRAE, without it permissions, and further shall not use the said devices for cheating by personating.
    13. You and any person on your behalf shall not access or use of an Internet account or computer resources without the owner's authorization and further shall not download, copy or extract any data, computer data base or information from such computer network in any manner whatsoever;
    14. You and any person on your behalf shall not introduce or causes to be introduced any computer contaminant or computer virus into any computer system or computer network and damages or causes to be damaged any computer system or computer network, data, computer data base or any other programs residing in such computer system or computer network. xvi) You and any person on your behalf shall not, disrupt or causes disruption of any computer, computer system or computer network or denies or causes the denial of access to any person authorized to access any computer system or computer network by any means.
    15. You and any person on your behalf shall not, destroy, delete or alter any information residing in a computer resource or diminishes its value or utility or affects it injuriously by any means and steel, conceal, destroy or alter or cause any person to steal, conceal, destroy or alter any computer source code used for a computer resource with an intention to cause damage.
    16. You agree that you and any person on your behalf shall not indulge or conspire in any manner whatsoever in the aforesaid illegal activities. ISHRAE shall have the right, but not the obligation, to remove the content which is deemed, in ISHRAE's sole discretion, harmful, offensive, in violation of any provision of this Agreement or breaches any law.
    17. You are strictly prohibited from installing any third party software on our services without the express written authorization of ISHRAE. In the event that you install third party software on ISHRAE's servers without the express written authorization of ISHRAE, ISHRAE at its discretion shall have the right to terminate the Services without any notice.
    1. ISHRAE has the right to terminate this Agreement and your right to use this service, upon any material breach of terms and conditions by you. In the event of termination for any reason ISHRAE shall not give any refund of the amount paid by you.
    2. On termination you shall forthwith return or destroy all data and information and provide written intimation to ISHRAE.
    3. You agree that any breach of one or more provisions of this Agreement that threatens to, or causes ISHRAE substantial harm is a material breach. Furthermore, any breach of the confidentiality, or non-competition provisions by you, or failure to make payments, shall be considered material breaches. Furthermore, any conduct or negligence that adversely affects the business or good will and brand name of ISHRAE will be considered as material breach and ISHRAE at its discretion may terminate this agreement.
    4. Upon termination of this agreement, ISHRAE shall retain all proprietary technology and services provided to you, and services shall render inoperable. You shall return or destroy all originals and copies of any Confidential Information of the other Party regarding this agreement.
    1. You shall defend, indemnify, and hold harmless ISHRAE, its officers, employees, agents, Representatives from and against any claims, liability(ies), demands, losses, damage, deficiencies, actions, judgments or cause of action, assessments, interests, penalties and other costs or expenses incurred or suffered by ISHRAE (including, without limitation, reasonable attorneys' fees and expenses) arising out of or in relation to or in connection with:
      (a) Breach of any provision of this Agreement or non-performance of any of its obligations under this Agreement by defaulting party; or
      (b) Anything done or omitted to be done by you due to gross negligence, willful default or willful misconduct by defaulting party or any of your officers, directors, employees or agents, or

  6. You shall not disclose to any third party or use, except in connection with the performance of Services hereunder, any confidential information of ISHRAE business ("Confidential Information") in the course hereof. Confidential Information shall include; (i) ISHRAE services and plans for the Website (ii) Specifications of ISHRAE services and any future development plans (iii) Concepts relating to ISHRAE service not disclosed from the operation of the Website (iv) Trade secrets of ISHRAE (v) Information derived from providing the Services when Website is in operation, including but not limited to: 1. identities, contact information and credit card information of users (if applicable) 2. Confidential information of the Website's use, such as number of users, unique visitors and unique visits (if applicable).

    All information received by you shall be kept confidential and you shall use the same degree of care as you use to protect its own confidential information. An item will not be considered to be confidential information if it is; (i) already available to the public other than by a breach of this Agreement; (ii) rightfully received from a third party not in breach of any obligation of confidentiality; (iv) proven to be already known to the recipient at the time of disclosure; or (v) produced in compliance with applicable law or a court order, provided you shall promptly notify ISHRAE so as to enable ISHRAE to seek a protective order or other appropriate remedy. You will return all the confidential information to ISHRAE within 30 (thirty) days from the expiry and on termination of this agreement. The obligations contained in this Clause shall survive the termination of this Agreement.

    Notwithstanding the forgoing, in the event ISHRAE receives a validly issued administrative or judicial order, notice, warrant or other process that requires ISHRAE to share/disclose the confidential information then it shall be free to disclose all or part of the Confidential Information or is otherwise required to disclose any Confidential Information in order to comply with any law.

  7. Sellers acknowledge and agree that the statutory and other proprietary rights in respect of patents, designs, copyright, trademarks, trade secrets, processes, formulae, systems, drawings, data, specifications, documents, and other like rights relating to the Services or displayed or referred to on the ISHRAE's website are owned by ISHRAE or in some cases third parties. The Sellers must not reproduce copy, transmit, adapt, publish or communicate or otherwise exercise the intellectual property rights in the whole or any part of the material contained on the ISHRAE's Site
    1. ISHRAE is committed to protecting and safeguarding Seller's privacy. This Privacy Policy describes how ISHRAE may use the personal information collected in the process of registration and with whom it may be shared. This Privacy Policy also describes the measures taken to protect the security of the information as well as how Sellers can access, modify or delete their personal information at any time. It also explains how Sellers can object to the processing of the personal information or to receiving communications about ISHRAE products and services and also those from third parties. However, as no data transmission over the internet can be guaranteed to be completely secure, ISHRAE cannot ensure or warrant the security of any information Sellers transmit or receive through the website. These activities are conducted at Seller's own risk.
      What information is kept by ISHRAE?
    2. The information submitted by the Sellers during the registration process is entered into ISHRAE's database. This information may be received through online registration . If the Seller has agreed to be matched with potential Buyer, he / she may receive the Seller's contact information online or through SMS or displayed on Mobile Application and the User's information may be sent to the concerned Seller.
    3. ISHRAE therefore reserves the right to share Sellers personal information with Buyer. ISHRAE also reserve the right to share participation reports and programme statistics with our subscribing entities, e.g., tertiary institution or the local or central government for statistical reasons.
    1. ISHRAE may share Seller's offers to the Registered Users by any means, including email or SMS, concerning the sale of Product or rendering of service by Seller.
    2. The information Sellers have provided may be used by ISHRAE to create and deliver emails such as ISHRAE's newsletters, surveys or other email messages containing product and event information or promotions. If at any time Sellers decide that Sellers would not like to receive these emails, Sellers may select the 'Unsubscribe' link on the email.

  8. ISHRAE may retain other companies and individuals to perform functions on our behalf consistent with this Privacy Policy. Examples include data analysis firms, customer support specialists, email vendors, web-hosting companies and fulfilment companies (e.g., companies that coordinate mailings). Such third parties may be provided with access to personal information needed to perform their functions but may not use such information other than on ISHRAE's behalf and in accordance with this Privacy Policy.

  9. As ISHRAE continues to develop business, ISHRAE might sell certain of its assets. In such transactions, Seller's information, including personal information, is generally one of the transferred business assets. By registering with ISHRAE Sellers agree that Seller's personal information data may be transferred to such parties in these circumstances.

  10. ISHRAE may disclose information that is necessary to comply with any applicable law, regulation, legal process or governmental request. In addition, ISHRAE may disclose any information when it is necessary to prevent physical harm or financial loss or in connection with suspected or actual illegal activity.
    1. The Network in use for the GSM/GPRS service being provided to the Sellers by ISHRAE is from a Telecom Operator and will depend on the services as provided by the Telecom Operator. ISHARE shall not be held responsible for any problem or disturbance in the network.
    2. Services/Products offered by Seller are their responsibility. ISHRAE is not responsible for its quality, warranties, after sales service, parts etc. to Users in any manner whatsoever.
    3. ISHRAE is not responsible for any direct, indirect or consequential loss to the Seller/ third party claims for issues with the User relating to product or services of the Seller.
    4. All the differences/ disputes/ claims shall be settled subject to New Delhi jurisdiction only.

  11. Sellers hereby agree that any and all disputes, claims, questions, or disagreements arising out of or in relation to these Terms and Conditions shall include, without limitation of the validity, interpretation, implementation, material breach or any alleged material breach of any term or condition of these Terms and Conditions, the Parties shall endeavour to settle such disputes amicably through discussion within a period of 30 days from the date of notice by either party of the dispute. If parties fail to amicably resolve the dispute then Parties shall refer the dispute to Arbitration and arbitral proceedings shall be held as specified under the law of arbitration applicable to India, i.e. the Arbitration and Conciliation Act, 1996 or any statutory amendment thereof. Notice for the Arbitration shall be served within 30 days of failure of parties to settle the dispute amicably through discussion. The dispute(s) shall be referred to the arbitration of a Sole Arbitrator to be appointed as mutually decided amongst the parties. The award passed by the Sole Arbitrator shall be final and binding on the Parties. The venue of Arbitration shall be New Delhi and the proceedings shall be conducted in English language. Further, the notice served on the email ID of the Seller(s) shall be deemed to be considered as valid service of the notice.
    1. Seller's use of the Service is entirely at his/her own risk. The ISHRAE makes no representation or warranty about the accuracy or suitability of the Users or about the information or links provided on the Site or on Mobile Application. ISHRAE and its officers, employees and agents accept no responsibility for any loss or damage however caused (including through negligence) that the Sellers may suffer directly or indirectly.
    2. Sellers acknowledge that the ISHRAE is not and cannot be held responsible for the behaviour/comments/posts of the User. In particular, Sellers acknowledge that the ISHRAE does not screen or monitor Users and has no way of ensuring that the information contributed by User is accurate.
    3. If any of these terms and conditions (or part of them) is held to be invalid or unenforceable, these terms and conditions will remain in full force, apart from the term or condition or part of it that is held to be invalid or unenforceable which will be deleted to the minimum extent necessary for these terms and conditions to be valid and enforceable.

You hereby represent and warrant to the Company that You are at least eighteen (18) years of age or above and are capable of entering, performing and adhering to these Terms and conditions and agree to be bound by the terms and conditions. If You are a minor i.e. under the age of 18 years, You shall not register as a User of the ISHRAE portal and shall not transact on or use the Website. As a minor if You wish to use or transact on website, such use or transaction may be made by Your legal guardian or parents on the Website. ISHRAE reserves the right to terminate Your membership and / or refuse to provide You with access to the Website if it is brought to ISHRAE's notice or if it is discovered that You are under the age of 18 years

    Subject to compliance with the Terms of Use, ISHRAE grants You a non-exclusive, limited privilege to access and use the portal and the services provided therein.

      1. In order to use the Services, You must create a Seller's Account and register with ISHRAE and agree to provide required personal information requested by ISHRAE.
      2. In particular, You will be required to provide Your first name, last name, age, title, valid telephone number, email address along with details of the Products. If registration has been obtained through false representation of facts, ISHRAE reserves the right to terminate the registration immediately.
      3. You agree and accept that all of the information provided by You to ISHRAE while setting up Your Seller's Account or at any other time, shall be true, proper, correct, complete and accurate in all respects. You also agree and understand that ISHRAE does not undertake any verification to confirm the accuracy of any information provided by the Sellers on the Website. ISHRAE shall not be liable to You in the event, any information provided by You is false, incomplete, inaccurate, misleading or fraudulent.
      4. If You use the Website, You shall be responsible for maintaining the confidentiality of Your Display Name and Password and You shall be responsible for all activities that occur under Your Display Name and Password. You agree that if You provide any information that is untrue, inaccurate, not current or incomplete or We have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with the this Terms of Use, We shall have the right to indefinitely suspend or terminate or block access of Your membership on the Website and refuse to provide You with access to the Website.
      1. You shall not be charged for the subscription to the Membership of ISHRAE as per the Free Listing plan opted by You. However, You can become a paid member on the website by subscribing to any of our paid subscription plans at anytime during the subsistence of Your subscription period.
      2. As a free member you will be entitled to browse, navigate and search in the Site but you will not be entitled to avail same benefits as paid member. However, on payment of subscription fees , You will be entitled to have same benefits as paid member depending upon the subscription plan chosen by You.
      3. Your Products will be displayed at the end in the category of Products in which You have advertised. This is done as per the Policy of ISHRAE to display the Products of its paid members first in the particular category of Products.
      4. ISHRAE reserves the absolute right to modify, amend, change, curtail or expand any privileges, rights, benefits, liabilities or responsibilities of its Free Listing members as it deems fit and these will be instantly applicable to all past, present and future members. The quantum of these benefits and even the benefits in totality will be at the sole discretion of ISHRAE.
      5. You will use the ISHRAE services in a manner consistent with all local, states and Union regulations and laws. We reserve the right to suspend or cancel Your access to any or all services provided by us when You are not in compliance to the terms of this agreement and/or we decide that Your account has been inappropriately used.
    1. You hereby acknowledge and agree that ISHRAE as well as its web portal Searcho provides intermediary services and therefore cannot be held responsible in any way for any dispute between Sellers and Users. ISHRAE is only facilitating Sellers and Users to interact with each other for the purpose of commercial/contractual transactions. In these transactions ISHRAE is acting as an intermediary and facilitator, by creating a bridge between Seller and User enabling Users to place orders/bookings/request through the portal. Thus, ISHRAE cannot be a party to or control in any manner any transactions between the Seller and the Buyer.
    2. ISHRAE do not make any representation or Warranty as to specifics (such as quality, value, saleability, etc) of the Products proposed to be sold or offered to be sold or purchased on the Portal. ISHRAE does not implicitly or explicitly support or endorse the sale or purchase of any Products on the Website. ISHRAE shall neither be liable nor responsible for any actions or inactions of by You or any breach of conditions, representations or warranties by You.
    3. ISHRAE will not be responsible for any non-performance or breach of any contract entered into between Buyers and Sellers. ISHRAE cannot and does not guarantee that the concerned Sellers and/or Buyer will perform any transaction concluded on the ISHRAE portal. ISHRAE shall not and is not required to mediate or resolve any dispute or disagreement between You and Buyer.
    4. ISHRAE does not at any point of time during any transaction between Seller and Buyer on the Portal come into or take possession of any of the Products offered by Seller nor does it at any point gain title to or have any rights or claims over the products or services offered by You to the User.
    5. ISHRAE is only providing a platform for the purposes of transaction and communication and it is agreed that the contract for sale of any of the Products shall be a strictly bipartite contract between Buyer and You.
    6. At no time shall ISHRAE hold any right, title or interest over the products nor shall Searcho have any obligations or liabilities in respect of any transaction between You and Buyer. Searcho is not responsible for unsatisfactory or delayed performance of services or damages or delays by You as a result of products which are out of stock, unavailable etc.
    7. ISHRAE's aggregate liability arising from or relating to this agreement or maintenance, support or other service (regardless of the form of action or claim - e.g. Contract, warranty, tort, malpractice, and/or otherwise) shall in no event exceed maximum amount paid by You to ISHRAE while availing ISHRAE's service under this agreement.
    8. ISHRAE shall not in any case be liable for any special, incidental, consequential, indirect or punitive damages even if ISHRAE has been advised of the possibility of such damages. ISHRAE is not responsible for loss of profits or revenue, loss of use of our service, loss of data, costs of re-creating lost data, the cost of any substitute equipment or program, or claims by You.
    1. ISHRAE derives information from sources which ISHRAE believes to be accurate and up to date at the time of publication. All information provided on the Website is provided in good faith. ISHRAE do not make any representation or warranty that the information provided is timely, reliable, accurate or complete, and will not be liable for any claim or loss resulting from any action taken, or reliance made by You on any information, material or advice provided on the Website, or for any incorrect information provided on the Website.
    2. ISHRAE reserves the right, in its sole discretion and without any obligation, to make improvements to, or correct any error or omissions in, any portion of the Site. Where appropriate, ISHRAE will endeavour to update information listed on the site on a timely basis, but shall not be liable for any inaccuracies.
    3. All those sections in the portal that invite reader participation will contain views, opinion, suggestion, comments and other information provided by the general public, and ISHRAE shall at no point of time be held responsible for the accuracy or correctness of such information. ISHRAE reserves the absolute right to accept/reject information from readers and/or users and impose portal access rules and regulations for any user(s).

The material/information/services are provided "As Is" And "As Available" without warranty of any kind, either express or implied or statutory, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement unless otherwise agreed by ISHRAE in writing. ISHRAE disclaims, to the fullest extent permitted under law, any warranties regarding the security, reliability, timeliness, accuracy and performance of the portal and materials. ISHRAE does not warrant that any defects or errors will be corrected; or that the content is free of viruses or other harmful components.

    ISHRAE further disclaims any and all warranties to the fullest extent of the law, including any warranties for any information, products, or services, obtained through, advertised or received through any links provided by or through the portal subject to applicable law.

  5. All data of the Sellers will be protected by ISHRAE by taking adequate encryption and security measures. However, in the event, of any breakdowns, or on occurrence of any errors or security breach which is beyond the reasonable control of ISHRAE then ISHRAE shall not own any liability in this regard.
    1. The following content and activities may not be displayed or promoted by You and any person on Your behalf or Associated in any way with You. ISHRAE shall have sole discretion as to what constitutes violation of this provision.
    2. You and/or any person on Your behalf shall not host, display, upload, modify, publish, transmit, update or share any information including but not limited or Products on the website that belongs to another person and to which the User does not have any right to;
    3. You and/or any person on Your behalf shall not host, display, upload, modify, publish, transmit, update or share any information on the website that is grossly harmful, harassing, blasphemous defamatory, obscene, pornographic, pedophilic, libelous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever;
    4. You and/or any person on Your behalf shall not host, display, upload, modify, publish, transmit, update or share any information on the website that infringes any patent, trademark, copyright or other proprietary rights; or that violates any law for the time being in force;

    8. You and/or any person on Your behalf shall not host, display, upload, modify, publish, transmit, update or share any information on the website that may be damaging to ISHRAE's servers or to any other server on the Internet.

You and/or any person on Your behalf shall not host, display, upload, modify, publish, transmit, update or share any information on the website that promotes or sale of unsolicited or bulk e-mail (SPAM) software or services or unsolicited or bulk e-mail or group posts (SPAM) which references and/or is traceable to ISHRAE and/or any Client in any way.
    10. You and/or any person on Your behalf must vigilantly comply with all applicable law, including, without limitation to, Information Technology Act, 2000 as amended by the Information Technology (Amendment) Act, 2008, and the Information Technology (Reasonable security practices and procedures and sensitive personal data or information) Rules, 2011 and rules and regulations made thereunder.
    11. You and/or any person on Your behalf shall not, knowingly or intentionally conceal, destroy or alter or intentionally or knowingly causes another to conceal, destroy or alter any computer source code used for a computer, computer program, computer system or computer network of ISHRAE, without the permission of ISHRAE.
    12. You and/or any person on Your behalf shall not, fraudulently or dishonestly, make use of the electronic signature, password or any other unique identification feature of any other person and You shall not misuse the computer resource of ISHRAE, without it permissions, and further shall not use the said devices for cheating by personating.
    13. You and/or any person on Your behalf shall not access or use of an Internet account or computer resources without the owner's authorization and further shall not download, copy or extract any data, computer data base or information from such computer network in any manner whatsoever;
    14. You and/or any person on Your behalf shall not introduce or causes to be introduced any computer contaminant or computer virus into any computer system or computer network and damages or causes to be damaged any computer system or computer network, data, computer data base or any other programs residing in such computer system or computer network. xvi) You and any person on Your behalf shall not, disrupt or causes disruption of any computer, computer system or computer network or denies or causes the denial of access to any person authorized to access any computer system or computer network by any means.
    15. You and/or any person on Your behalf shall not, destroy, delete or alter any information residing in a computer resource or diminishes its value or utility or affects it injuriously by any means and steel, conceal, destroy or alter or cause any person to steal, conceal, destroy or alter any computer source code used for a computer resource with an intention to cause damage.
    16. You agree that You/or and any person on Your behalf shall not indulge or conspire in any manner whatsoever in the aforesaid illegal activities. ISHRAE shall have the right, but not the obligation, to remove the content which is deemed, in ISHRAE's sole discretion, harmful, offensive, in violation of any provision of this Agreement or breaches any law.
    17. You are strictly prohibited from installing any third party software on our services without the express written authorization of ISHRAE. In the event that You install third party software on ISHRAE's servers without the express written authorization of ISHRAE, ISHRAE at its discretion shall have the right to terminate the Services without any notice.
    1. ISHRAE has the right to terminate this Agreement and Your right to use this service, upon any material breach of terms and conditions by You. In the event of termination for any reason ISHRAE shall not give any refund of the amount paid by You.
    2. On termination, You shall forthwith return or destroy all data and information and provide written intimation to ISHRAE.
    3. You agree that any breach of one or more provisions of this Agreement that threatens to, or causes ISHRAE substantial harm is a material breach. Furthermore, any breach of the confidentiality, or non-competition provisions by You, or failure to make payments, shall be considered material breaches. Furthermore, any conduct or negligence that adversely affects the business or good will and brand name of ISHRAE will be considered as material breach and ISHRAE at its discretion may terminate this Agreement.
    4. Upon termination of this Agreement, ISHRAE shall retain all proprietary technology and services provided to You, and services shall render inoperable. You shall return or destroy all originals and copies of any Confidential Information of the other Party regarding this Agreement.
    1. You shall defend, indemnify, and hold harmless ISHRAE, its officers, employees, agents, Representatives from and against any claims, liability(ies), demands, losses, damage, deficiencies, actions, judgments or cause of action, assessments, interests, penalties and other costs or expenses incurred or suffered by ISHRAE (including, without limitation, reasonable attorneys' fees and expenses) arising out of or in relation to or in connection with:
      (a) Breach of any provision of this Agreement or non-performance of any of its obligations under this Agreement by defaulting party; or
      (b) Anything done or omitted to be done by You due to gross negligence, willful default or willful misconduct by defaulting party or any of Your officers, directors, employees or agents.

  6. You shall not disclose to any third party or use, except in connection with the performance of Services hereunder, any confidential information of ISHRAE business ("Confidential Information") in the course hereof. Confidential Information shall include; (i) ISHRAE services and plans for the Website (ii) Specifications of ISHRAE services and any future development plans (iii) Concepts relating to ISHRAE service not disclosed from the operation of the Website (iv) Trade secrets of ISHRAE (v) Information derived from providing the Services when Website is in operation, including but not limited to: 1. identities, contact information and credit card information of users (if applicable) 2. Confidential information of the Website's use, such as number of users, unique visitors and unique visits (if applicable).

    All information received by You shall be kept confidential and You shall use the same degree of care as You use to protect Your own confidential information. An item will not be considered to be confidential information if it is; (i) already available to the public other than by a breach of this Agreement; (ii) rightfully received from a third party not in breach of any obligation of confidentiality; (iv) proven to be already known to the recipient at the time of disclosure; or (v) produced in compliance with applicable law or a court order, provided You shall promptly notify ISHRAE so as to enable ISHRAE to seek a protective order or other appropriate remedy. You will return all the confidential information to ISHRAE within 30 (thirty) days from the expiry and on termination of this Agreement. The obligations contained in this Clause shall survive the termination of this Agreement.

    Notwithstanding the forgoing, in the event ISHRAE receives a validly issued administrative or judicial order, notice, warrant or other process that requires ISHRAE to share/disclose the confidential information then it shall be free to disclose all or part of the Confidential Information or is otherwise required to disclose any Confidential Information in order to comply with any law.

  7. Sellers acknowledge and agree that the statutory and other proprietary rights in respect of patents, designs, copyright, trademarks, trade secrets, processes, formulae, systems, drawings, data, specifications, documents, and other like rights relating to the Services displayed or referred to on the ISHRAE's website are owned by ISHRAE or in some cases third parties. The Sellers must not reproduce copy, transmit, adapt, publish or communicate or otherwise exercise the intellectual property rights in the whole or any part of the material contained on the ISHRAE's Site.
    1. ISHRAE is committed to protecting and safeguarding Seller's privacy. This Privacy Policy describes how ISHRAE may use the personal information collected in the process of registration and with whom it may be shared. This Privacy Policy also describes the measures taken to protect the security of the information as well as how Sellers can access, modify or delete their personal information at any time. It also explains how Sellers can object to the processing of the personal information or to receiving communications about ISHRAE products and services and also those from third parties. However, as no data transmission over the internet can be guaranteed to be completely secure, ISHRAE cannot ensure or warrant the security of any information Sellers transmit or receive through the website. These activities are conducted at Seller's own risk.
      What information is kept by ISHRAE?
    2. The information submitted by the Sellers during the registration process is entered into ISHRAE's database. This information may be received through online registration . If the Seller has agreed to be matched with potential Buyer, he / she may receive the Seller's contact information online or through SMS or displayed on Mobile Application and the User's information may be sent to the concerned Seller.
    3. ISHRAE therefore reserves the right to share Sellers personal information with Buyer. ISHRAE also reserve the right to share participation reports and programme statistics with our subscribing entities, e.g., tertiary institution or the local or central government for statistical reasons.
    1. ISHRAE may share Seller's offers to the Registered Users by any means, including email or SMS, concerning the sale of Product or rendering of service by Seller.
    2. The information Sellers have provided may be used by ISHRAE to create and deliver emails such as ISHRAE's newsletters, surveys or other email messages containing product and event information or promotions. If at any time Sellers decide that Sellers would not like to receive these emails, Sellers may select the 'Unsubscribe' link on the email.

  8. ISHRAE may retain other companies and individuals to perform functions on our behalf consistent with this Privacy Policy. Examples include data analysis firms, customer support specialists, email vendors, web-hosting companies and fulfilment companies (e.g., companies that coordinate mailings). Such third parties may be provided with access to personal information needed to perform their functions but may not use such information other than on ISHRAE's behalf and in accordance with this Privacy Policy.

  9. As ISHRAE continues to develop business, ISHRAE might sell certain of its assets. In such transactions, Seller's information, including personal information, is generally one of the transferred business assets. By registering with ISHRAE Sellers agree that Seller's personal information data may be transferred to such parties in these circumstances.

  10. ISHRAE may disclose information that is necessary to comply with any applicable law, regulation, legal process or governmental request. In addition, ISHRAE may disclose any information when it is necessary to prevent physical harm or financial loss or in connection with suspected or actual illegal activity.
    1. The Network in use for the GSM/GPRS service being provided to the Sellers by ISHRAE is from a Telecom Operator and will depend on the services as provided by the Telecom Operator. ISHARE shall not be held responsible for any problem or disturbance in the network.
    2. Services/Products offered by Seller are their responsibility. ISHRAE is not responsible for its quality, warranties, after sales service, parts etc. to Users in any manner whatsoever.
    3. ISHRAE is not responsible for any direct, indirect or consequential loss to the Seller/ third party claims for issues with the User relating to product or services of the Seller.
    4. All the differences/ disputes/ claims shall be settled subject to New Delhi jurisdiction only.

  11. Sellers hereby agree that any and all disputes, claims, questions, or disagreements arising out of or in relation to these Terms and Conditions shall include, without limitation of the validity, interpretation, implementation, material breach or any alleged material breach of any term or condition of these Terms and Conditions, the Parties shall endeavour to settle such disputes amicably through discussion within a period of 30 days from the date of notice by either party of the dispute. If parties fail to amicably resolve the dispute then Parties shall refer the dispute to Arbitration and arbitral proceedings shall be held as specified under the law of arbitration applicable to India, i.e. the Arbitration and Conciliation Act, 1996 or any statutory amendment thereof. Notice for the Arbitration shall be served within 30 days of failure of parties to settle the dispute amicably through discussion. The dispute(s) shall be referred to the arbitration of a Sole Arbitrator to be appointed as mutually decided amongst the parties. The award passed by the Sole Arbitrator shall be final and binding on the Parties. The venue of Arbitration shall be New Delhi and the proceedings shall be conducted in English language. Further, the notice served on the email ID of the Seller(s) shall be deemed to be considered as valid service of the notice.
    1. Seller's use of the Service is entirely at his/her own risk. The ISHRAE makes no representation or warranty about the accuracy or suitability of the Users or about the information or links provided on the Site or on Mobile Application. ISHRAE and its officers, employees and agents accept no responsibility for any loss or damage however caused (including through negligence) that the Sellers may suffer directly or indirectly.
    2. Sellers acknowledge that the ISHRAE is not and cannot be held responsible for the behaviour/comments/posts of the User. In particular, Sellers acknowledge that the ISHRAE does not screen or monitor Users and has no way of ensuring that the information contributed by User is accurate.
    3. If any of these terms and conditions (or part of them) is held to be invalid or unenforceable, these terms and conditions will remain in full force, apart from the term or condition or part of it that is held to be invalid or unenforceable which will be deleted to the minimum extent necessary for these terms and conditions to be valid and enforceable.
For Users
      1. The below mentioned Terms and Conditions shall apply on all users who are willing to obtaining Services and Products from the vendors and service providers listed on the Website (www.searcho.org) of Indian Society of Heating, Refrigerating and Air Conditioning Engineers ("ISHRAE") having its registered office at ___________________.
      1. "Product and Services of Registered Vendors" ________________,please fill in the detail of products and services>>______________.
      2. "Registered Vendor" refers to the service provider and sellers of products in relation to heating, refrigerating and air conditioning who are registered with ISHRAE.
      3. "Service" refers to the platform provided by ISHRAE through its Website, as a one stop solution to the day to day requirements of the Users in relation to searching of appropriate service provider and sellers of products in relation to heating, refrigerating and air conditioning.
      4. "User" refers to a person who shall register with ISHRAE through the Website with an intention to avail the Services provided by ISHRAE.
      5. "Website" means http://www.searcho.org which is maintained or operated by ISHRAE which offers similar Services.
      1. The following conditions will be applicable to all the Users. The Users hereby give their consent to these Terms and Conditions in full and also agree to be bound by these Terms and Conditions. These Terms and Conditions contain the provisions that define User's legal rights, obligations, cautions and limits with respect to User's participation and interaction with the Registered Vendors listed on the Website.
      2. It is also agreed by the Users that no access to the Services will be permitted unless the Conditions are accepted in full. No User is entitled to accept part of the Conditions. If a User does not agree to the Conditions then such User will not be able use the Services.
      3. All Users agree to comply with the Conditions and accept that their personal data may be processed in accordance with the Privacy Policy. In the event that any User fails to comply with any of the Conditions at anytime during the tenure of their Membership, ISHRAE reserves the right to withdraw the User Account in question and suspend or withdraw all Services pertaining to that User without any notice.
      1. In order to use the Services, each User must create a User Account and agree to provide required personal information requested by ISHRAE.
      2. In particular, Users will be required to provide their first name, last name, age, title, valid telephone number, email address. Registration for the ISHRAE facility is open only to those individuals who are 18 years of age or above and who are able to legally form a binding contract. If registration has been obtained through false representation of facts, ISHRAE reserves the right to terminate the registration immediately.
      3. Users agree and accept that all of the information provided by them to ISHRAE while setting up their User Account or at any other time, shall be true, proper, correct, complete and accurate in all respects. Users also agree and understand that ISHRAE does not undertake any verification to confirm the accuracy of any information provided by the Users on the Website. ISHRAE will not be liable to any User in the event, any information provided by another User is false, incomplete, inaccurate, misleading or fraudulent.
      1. The subscription to the Membership of ISHRAE by any User through the Website is free of any charges.
      2. ISHRAE is only a facilitator providing a platform to its Users to interact with the Registered Vendors who are providing their expert services in the file of heating, refrigerating and air conditioning and also sale the products in the mentioned line of business.
      3. Once the category of the equipments is selected by the User, ISHRAE shall share the list of Registered Vendors basis the location of User. Users are required to apply their own wisdom and conscious while selecting the appropriate Registered Vendor in accordance to their need.
      4. ISHRAE has no role to play in the transaction between the Users and the Registered Vendors. Users and Vendors may negotiate among themselves basis the nature of service and product.
    1. ISHRAE reserves the right to review or modify the Terms and Conditions of this Service from time to time at our sole discretion with or without prior notice to the User and such modification shall be effective immediately upon posting on the website. The most current version of the Terms and Conditions will always be available on the ISHRAE website and it is the User's responsibility to review Terms and Conditions of this Service periodically and make himself/ herself aware of any modifications. The User's continued use of this Service will be deemed to be his/her conclusive acceptance of the modified Terms and Conditions of the Service.
    1. All data of the Users will be protected by ISHRAE by taking adequate encryption and security measures. However, in the event, of any breakdowns, or on occurrence of any errors or security breach which is beyond the reasonable control of ISHRAE then ISHRAE shall not own any liability in this regard.
    1. ISHRAE is under no obligation to resolve disputes which may arise between the Users and Registered Vendor. The Users will be required to notify any complaint/ feedback w.r.t. Registered User within 15 days from the date of purchase of goods or receiving services. ISHRAE at its sole discretion may blacklist the Registered User in default.
    1. Access to and use of ISHRAE's Website is provided to enable the Users to render a one stop solution to their daily challenges faced by them in relation to search of specialist service providers and sellers in the area of heating, refrigerating and air conditioning. ISHRAE does not intervene in any manner whatsoever, in the transactions between the Users and the Registered Vendors and nor dose ISHRAE charges any commission from the Users for its services. Further, Users and Vendors may negotiate among themselves basis the nature of services and products without any intervention from ISHRAE. Hence, on becoming a User with ISHRAE, Users acknowledge and agree to waive any and all rights to, or claims for, damages (including special and consequential damages), costs, expenses, proprietary or personal injury (including death), or any other compensation of any kind whatsoever against the ISHRAE, that arise directly or indirectly with respect to (i) use of the products and/or services rendered by Registered Vendors and/or (ii) reliance on the information provided on the Website or otherwise; (iii) anything done or omitted to be done by User himself or Registered Vendor due to gross negligence, willful default or willful misconduct by User or Registered Vendor or any of the officers, directors, employees or agents of Registered Vendor.
    2. ISHRAE shall not be liable to the Users for any incidental, consequential, special, indirect or exemplary damages arising out of its services or from the product or services of Registered Vendor, including lost profits or costs of cover, loss of use or business interruption or the like, regardless of whether the party was advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, ISHRAE shall have no monetary liability towards any User for any cause (regardless of the form of action) under or relating to this Agreement.
    1. Users acknowledge and agree that ISHRAE will be using the information provided in the website at User's own risk and that ISHRAE is in no way responsible, and provide no warranty (express or implied) and / or guaranty of any kind with respect to, the information provided herein. Users acknowledge and agree that it is the responsibility of the Users to select the Registered Vendor who are most appropriate for their needs.
      1. Users acknowledge and agree that the statutory and other proprietary rights in respect of patents, designs, copyright, trademarks, trade secrets, processes, formulae, systems, drawings, data, specifications, documents, and other like rights relating to the Services or displayed or referred to on the ISHRAE's website are owned by ISHRAE or in some cases third parties. The Users must not reproduce copy, transmit, adapt, publish or communicate or otherwise exercise the intellectual property rights in the whole or any part of the material contained on the ISHRAE's Site
      1. ISHRAE is committed to protecting and safeguarding User's privacy. This Privacy Policy describes how ISHRAE may use the personal information collected in the process of registration and with whom it may be shared. This Privacy Policy also describes the measures taken to protect the security of the information as well as how Users can access, modify or delete their personal information at any time. It also explains how Users can object to the processing of the personal information or to receiving communications about ISHRAE products and services and also those from third parties. However, as no data transmission over the internet can be guaranteed to be completely secure, ISHRAE cannot ensure or warrant the security of any information Users transmit or receive through the website. These activities are conducted at User's own risk.
        What information is kept by ISHRAE?

If the Users have agreed to be matched with potential Registered Vendor, he / she may receive the Registered Vendor 's contact information online or through SMS or displayed on Mobile Application and the User's information may be sent to the concerned Registered Vendor.
      3. ISHRAE therefore reserves the right to share User's personal information with Registered Vendor. ISHRAE also reserve the right to share participation reports and programme statistics with our subscribing entities, e.g., tertiary institution or the local or central government for statistical reasons.
      1. ISHRAE may provide Users with service related announcements by any means, including email or SMS, concerning the sale of Product or rendering of service by Registered Vendor, the website. For example, all registered Users will receive a welcoming email or SMS to confirm their registration. ISHRAE may also contact Users for program evaluation and feedback purposes. These types of communications are necessary to serve Users, respond to User's concerns and to provide the high level of service that ISHRAE offers its Users.
      2. The information Users have provided may be used by ISHRAE to create and deliver emails such as ISHRAE's newsletters, surveys or other email messages containing product and event information or promotions. If at any time Users decide that Users would not like to receive these emails, Users may select the 'Unsubscribe' link on the email.
      3. ISHRAE may also send text message/SMS alerts containing product and event information or promotions on User's mobile phone2. ISHRAE does not charge any fee for such text messages and emails from Users.
      4. The Users understand that they will receive promotional emails and SMS from various entities promoting their products. If at any time Users decide that they would not like to receive these emails, Users may select the 'Unsubscribe' link on the email.
      1. ISHRAE may retain other companies and individuals to perform functions on our behalf consistent with this Privacy Policy. Examples include data analysis firms, customer support specialists, email vendors, web-hosting companies and fulfilment companies (e.g., companies that coordinate mailings). Such third parties may be provided with access to personal information needed to perform their functions but may not use such information other than on ISHRAE's behalf and in accordance with this Privacy Policy.
      1. As ISHRAE continue to develop our business, ISHRAE might sell certain of its assets. In such transactions, user information, including personal information, is generally one of the transferred business assets. By registering with ISHRAE Users agree that User's personal information data may be transferred to such parties in these circumstances.
      1. ISHRAE may disclose information that is necessary to comply with any applicable law, regulation, legal process or governmental request. In addition, ISHRAE may disclose any information when it is necessary to prevent physical harm or financial loss or in connection with suspected or actual illegal activity.
      1. The Network in use for the GSM/GPRS service being provided to the Users by ISHRAE is from a Telecom Operator and will depend on the services as provided by the Telecom Operator. ISHARE shall not be held responsible for any problem or disturbance in the network.
      2. Services/Products offered by Registered Vendor are their responsibility. ISHRAE is not responsible for its quality, warranties, after sales service, parts etc.
      3. ISHRAE is not responsible for any User/ third party claims for issues related to product or services of Registered Vendor.
      4. All the differences/ disputes/ claims will be settled mutually and subject to New Delhi jurisdiction only.
      1. Users hereby agree that any and all disputes, claims, questions, or disagreements arising out of or in relation to these Terms and Conditions shall include, without limitation of the validity, interpretation, implementation, material breach or any alleged material breach of any term or condition of these Terms and Conditions, the Parties shall endeavour to settle such disputes amicably through discussion within a period of 30 days from the date of notice by either party of the dispute. Failure to which shall lead to Arbitration proceedings as specified under the law of arbitration applicable to India, i.e. the Arbitration and Conciliation Act, 1996 (as amended or substituted) from time to time. Notice for the Arbitration shall be served within 30 days of failure of parties to settle the dispute amicably through discussion. The dispute(s) shall be referred to the arbitration of a Sole Arbitrator to be appointed in accordance with the Arbitration law. The award passed by the Sole Arbitrator shall be final and binding on the Parties. The venue of Arbitration shall be New Delhi, India and the proceedings shall be conducted in English language. Further, the notice served on the email ID of the User(s) shall be deemed to be considered as valid service of the notice.
    1. User's use of the Service in entirely at his/her own risk. The ISHRAE makes no representation or warranty about the accuracy or suitability of the Services or about the information or links provided on the Site or on Mobile Application. ISHRAE and its officers, employees and agents accept no responsibility for any loss or damage however caused (including through negligence) that the Users may suffer directly or indirectly.
    2. Users acknowledge that the ISHRAE is not and cannot be responsible for the behavior of Registered Vendor. In particular, Users acknowledge that the ISHRAE does not screen or monitor Users and has no way of ensuring that the information contributed by Registered Vendor is accurate.
    3. If any of these terms and conditions (or part of them) is held to be invalid or unenforceable, these terms and conditions will remain in full force, apart from the term or condition or part of it that is held to be invalid or unenforceable which will be deleted to the minimum extent necessary for these terms and conditions to be valid and enforceable.
  • 1) Please see relevant provisions of the Information Technology Act, 2000 (as amended in 2008) relating to data protection at Annex. Also please check whether ISHRAE subscribes to any self-regulatory code of practice on privacy standards initiated by industry associations.
    2) Unsolicited Commercial Communication through any telecommunication service is regulated under the Telecom Unsolicited Commercial Communications Regulations, 2007 and subsequent amendments.
    For Advertisers
        1. These Terms & Conditions are entered into between Indian Society of Heating, Refrigerating and Air Conditioning Engineers (herein after referred to "ISHRAE", "We" & "Us") having it's registered office at K-43 (Basement) Kailash Colony, New Delhi- 110048 and the Ad Buyers (herein after referred to "You" & "Your").
        1. In these Terms and Conditions unless the context otherwise requires:
        2. "Ad Buyers" includes persons/individuals/entities who are selling the products in relation to heating, refrigerating and air conditioning and also intends to buy Ad Space on the Website and advertise their products.
        3. "Ad Content" means the content of the website or other property in which the Ad Space appears or is to appear.
        4. "Ad Space" means the space available for advertisement on the ISHRAE's Website.
        5. "Advertisement" includes all forms of digital text, graphic, rich media and other advertisements of the Ad Buyers whether being broadcast visually and/or aurally via the internet including all content contained therein.
        6. "Service" means a platform provided to the Ad Buyer for publishing their Advertisements on the Website of ://www.searcho.org
        7. "Website" means http://www.searcho.org which is maintained or operated by ISHRAE which offers similar services
        1. The following conditions will be applicable to all the Ad Buyers. The Ad Buyers hereby give their consent to these Terms and Conditions in full and also agree to be bound by these Terms and Conditions. These Terms and Conditions contains the provisions that defines Ad Buyer's legal rights, obligations, cautions and limits with respect to buying of Ad Space on the Website and the Ad Contents thereof.
        2. It is also agreed by the Ad Buyers that no access to the Services will be permitted unless the Conditions are accepted in full. No Ad Buyer is entitled to accept part of the Conditions. If an Ad Buyer does not agree to these Conditions then such Ad Buyers will not be able to use the Services.
        3. All Ad Buyers agree to comply with the Conditions and accept that their personal data may be processed in accordance with the Privacy Policy. In the event, any Ad Buyer fails to comply with any of the Conditions at anytime during the tenure of their Subscription, ISHRAE reserves the right to withdraw the Ad Buyer's Subscription in question and suspend or withdraw all Services without any notice.
        1. In order to use the Services, each Ad Buyer must create a User Account and agree to provide required personal information requested by ISHRAE. The Ad Buyers will be responsible to maintain the confidentiality of their password and shall be responsible for all uses via their registration and/or login, whether authorized or unauthorized by them. The Ad Buyers agree to immediately notify us of any unauthorized use or your registration, user account or password.
        2. The Ad Buyers agree and accept that all of the information provided by them to ISHRAE while setting up their User Account or at any other time, shall be true, proper, correct, complete and accurate in all respects. Users also agree and understand that ISHRAE does not undertake any verification to confirm the accuracy of any information provided by the Ad Buyers on the Website.
        1. Booking for Ad Space: An Ad Buyer can place its booking for Advertising Space on the ISHRAE's website
        2. Advertisements are accepted subject to the condition that the Advertising Space being available.
        3. You can subscribe to our services either by paying onetime payment for subscription charges, or paying the monthly basis payment in according to the Terms and Conditions for using services on non-exclusive basis.
        4. Your right to use the Service is limited to the subscription period. You may have the option to extend your subscription on paying of the subscription fees. If you extend your subscription, you may continue using the Service until the end of your extended subscription period. After the expiration of your subscription, the Services will be stopped.
        5. ISHRAE will make all possible efforts to keep a check on the Ad Contends before publishing the Ad Contents on its Website. ISHRAE at its absolute discretion has the rights to omit, suspend any Ad Contents including but not limited to the reasons that the Ad Contents are not in compliance with all applicable laws and regulations; Ad Contents are false, misleading, obscene, defamatory, hateful or otherwise illegal.
        6. If ISHRAE decides that the Advertisement is unsuitable/objectionable then ISHRAE will immediately suspend the publishing of the Advertisement and will also notify the Ad Buyer in writing who must supply an alternative Ad Content within ___ Working Days of receiving the notification, failing which, no Advertisements will be published on the Website thereafter.
        7. In the event, an Advertisement is unsuitable/objectionable then ISHRAE shall not incur any liability towards the Ad Buyers for any damage or loss in respect of non-publication and shall also not refund any subscription amount so deposited.
        1. Ad Buyers can make payments by wire transfer, banker cheques or Credit Cards such as VISA, MASTER, AMEX subject to a convenience fee of 3%. ISHRAE further reserves the right to alter any and all of its fees from time to time on account of increase in any fee, duty, taxes etc.
        2. Any illegal transaction by Ad Buyers shall not be the responsibility of ISHARE and shall be the sole liability of the Ad Buyers. It would be ISHARE's discretion to retain the AD Buyer's Subscription upon detection of such an illegal transaction.
        3. In the event, the Website is under construction or is down due to any reason whatsoever and the Ad contents of any Ad Buyer are not able to be published on the Website for more than 2 Days then in such events, ISHARE shall refund the Subscription fee or adjust such fee against the future payments or extend the publications by such delayed days.
      1. ISHRAE reserves the right to review or modify the Terms and Conditions of this Service from time to time at our sole discretion with or without prior notice to Ad Buyers and such modification shall be effective immediately upon posting on the website. The most current version of the Terms and Conditions will always be available on the ISHRAE website and it is the Ad Buyer's responsibility to review Terms and Conditions of this Service periodically and make himself/ herself aware of any modifications. The Ad Buyer's continued use of this Service will be deemed to be his/her conclusive acceptance of the modified Terms and Conditions of the Service.
      1. All data of the Ad Buyers will be protected by ISHRAE by taking adequate encryption and security measures. However, in the event, of any breakdowns, or on occurrence of any errors or security breach which is beyond the reasonable control of ISHRAE then ISHRAE shall not own any liability in this regard.
      1. The Ad Buyer shall have a period of 20 Working Days from the date of the ISHRAE's acceptance of a booking in which it may issue a Notice of Cancellation. Cancellations are subject to a 50 % cancellation fee.
      1. The Ad Buyer represents and warrants that:
        (i) It is a bonafide business organization carrying on business in relation to the items disclosed to ISHRAE; (ii) It is authorized to publish the Advertisement(s);
        (iii) It has rights to use the trademark and related IPRs;
        (iv) The business carried on by the Ad Buyer does not violate or infringe upon any law or regulation and all registrations, authorizations and/ permissions necessary approvals required for carrying on business has been procured by it;
        (v) The content of its Advertisement(s) is not unlawful and do not infringe on the rights of any person;
        (vi) It has obtained all necessary permissions or releases to display the Advertisement;
        (vii) Any website linked to the Ad Buyer's Advertisement(s) in addition to any product or services advertised complies with all applicable laws and regulations, does not or has not breached any duty towards or the rights of any person and is not false, misleading, obscene, defamatory, hateful or otherwise illegal.
      1. Access to and use of ISHRAE's Website is provided to enable the Ad Buyers to facilitate the sellers in the area of heating, refrigerating and air conditioning to advertise their product on the Website. The Ad Buyers acknowledge and agree to waive any and all rights to, or claims for, damages (including special and consequential damages), costs, expenses, proprietary or personal injury (including death), or any other compensation of any kind whatsoever against the ISHRAE, that arise directly or indirectly with respect to non-publication of Ad Contents; Ad Contents are not in compliance with all applicable laws and regulations, Ad contents are false, misleading, obscene, defamatory, hateful or otherwise illegal. In no event, ISHRAE shall be liable for any losses, damages or additional expenses of any manner beyond the amount received by ISHRAE from Ad Buyers.
      2. ISHRAE shall not be liable to the Ad Buyers for any incidental, consequential, special, indirect or exemplary damages arising out of its services, including lost profits or costs of cover, loss of use or business interruption or the like, regardless of whether the party was advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, ISHRAE shall have no monetary liability towards any Ad Buyers for any cause (regardless of the form of action) under or relating to this Agreement.
      1. Ad Buyers undertakes to indemnify and hold ISHRAE harmless from and against any reasonable liability, claim, action, demand, cost, loss, damage or expense, including court costs (including any/ all attorney fees, Court fee) ("Claim") directly incurred by ISHRAW and defend any suit or proceeding brought by any third party against him, arising out of or in relation to, or in connection with, or as a consequence of; respect to non-publication of Ad Contents; Ad Contents are not in compliance with all applicable laws and regulations, Ad contents are false, misleading, obscene, defamatory, hateful or otherwise illegal;
        1. Ad Buyers undertake that the statutory and other proprietary rights in respect of patents, designs, copyright, trademarks, drawings, data, specifications, digital text, graphic, rich media and other advertisements of the Ad Buyers whether being broadcast visually and/or aurally are owned by Ad Buyers and that the Ad Buyer have not infringed any IPR Law.
        1. ISHRAE may disclose information that is necessary to comply with any applicable law, regulation, legal process or governmental request. In addition, ISHRAE may disclose any information when it is necessary to prevent physical harm or financial loss or in connection with suspected or actual illegal activity.
        1. Force Majeure-The Ad Buyers understand and agree that in case of Force Majeure, ISHRAE will be restrained from publishing the Advertisement on its Website on the events arising from force majeure or other causes beyond its control (which includes, inter alia, acts of god, acts of war, terrorism, pandemics, epidemics, strikes, fire, floods, terrorist attacks, Government order etc.).
        2. ISHRAE is not responsible for any Ad Buyer/ third party claims for issues related to the Ad Contents.
        3. All the differences/ disputes/ claims will be settled mutually and subject to New Delhi jurisdiction only.

You shall pay the said taxes and charges promptly without raising any objections. You also agree that in the event the said taxes and charges are not charged by ISHRAE the taxes shall be paid by you directly to the authorities concerned without raising any objection. You further agrees that the taxes and charges payable under this Clause is in addition to the fee paid by You for the Services rendered by ISHRAE.
        1. It is expressly agreed and understood between the parties hereto that this Terms and Conditions is on a non-exclusive basis and ISHRAE is free to provide similar services to thirdparty.
        1. Unless otherwise expressly stated in this Terms and Conditions, the failure to exercise or delay in exercising a right or remedy under this Terms and Conditions shall not constitute a waiver of the right or remedy or a waiver of any other rights or remedies, and no single or partial exercise of any right or remedy under this Terms and Conditions shall prevent any further exercise of the right or remedy or the exercise of any other right or remedy.
        1. All provisions except your license to access the Website shall survive any termination or expiration of these Terms and Conditions. The terms and provisions of this Terms and Conditions that by their nature and content are intended to survive the performance hereof by any or all Parties hereto shall so survive the completion and termination of this Terms and Conditions.
        1. If any provision of these Terms and Conditions found on this Website is or becomes, in whole or in part, invalid , void, voidable, unenforceable or illegal in accordance with its terms , if some part of that provision was deleted, that provision shall apply with such deletions as may be necessary to make it valid. If any Court/Tribunal of competent jurisdiction holds any of the provisions of this Terms and Conditions unlawful or otherwise ineffective, the remainder of these Terms and Conditions shall remain in full force and the unlawful or otherwise ineffective provision shall be substituted by a new provision reflecting the intent of the provision so substituted.
